Lance McKinlay serves as Senior Of Counsel (Corporate) and provides the Schafer Law Firm team expertise in all aspects of corporate law matters, including specialized expertise and experience in distressed transactional matters as well as serving as the legal advisor to publicly traded companies involving public offerings and private securities placements, corporate governance, SEC compliance, change of control and proxy contests, private placements, stock exchange listing requirements, compliance with the Sarbanes-Oxley Act of 2002 matters, venture capital financings, and private equity mergers and acquisitions deals.

Mr. McKinlay, in addition to his expertise brought as a Senior Of Counsel to the Schafer Law Firm team, advises publicly-traded and private companies on transactional corporate matters, including mergers and acquisitions, public and private securities offerings, venture capital financing and corporate restructurings. Mr. McKinlay has extensive experience in representing public companies, in matters including corporate governance, SEC compliance, change of control and proxy contests, private placements, stock exchange listing requirements and compliance with the Sarbanes-Oxley Act of 2002.

Previously, Mr. McKinlay was a founding partner with Mr. Schafer with Manderson, Schafer & McKinlay, LLP (2009-2012). Prior to that Mr. McKinlay was a senior associate at Paul Hastings, Janofsky & Walker’s Orange County office for four years, where his practice focused on representing public companies, shareholders, and investors in a variety of transactions and public and private securities offerings. Prior to that, Lance spent five years as an associate at Wilson Sonsini Goodrich & Rosati’s principal office in Palo Alto.

Mr. McKinlay received his J.D. degree from the University of Pennsylvania Law School in 2000 and his B.S. degree in Economics with honors from Brigham Young University in 1994. Before law school, Lance conducted economic research and policy analysis at the Board of Governors of the Federal Reserve System in Washington, D.C.
